About these Terms

These Terms of Use govern access to and use of www.lasthitlabs.com, referred to as the “Website”. The Website is operated by Last Hit Labs Private Limited, referred to as “Last Hit Labs”, “we”, “us”, or “our”. By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

Eligibility and authority

You must be at least 18 years old and legally capable of accepting these Terms. If you use the Website for a company, partnership, organisation, or another person, you represent that you have authority to act for that entity or person.

Purpose of the Website

The Website provides general information about custom software, SaaS development, AI automation, Meta automation, CRM systems, billing software, business workflows, and related technology services. Content is provided for preliminary business evaluation. It is not a binding offer, professional opinion, technical specification, implementation commitment, or guarantee of availability.

Inquiries do not create a contract

Submitting an inquiry:

• Does not require Last Hit Labs to accept a project.
• Does not create a client, agency, partnership, employment, fiduciary, or joint venture relationship.
• Does not reserve personnel or delivery capacity.
• Does not establish a price, timeline, scope, service level, or deliverable.
• Does not constitute acceptance of an offer or an obligation to provide services.

An engagement requires a separate written proposal, statement of work, order form, or other agreement accepted by authorised parties. If that document conflicts with these Website Terms, the engagement document governs the paid engagement to the extent of the conflict.

Service descriptions

Service, capability, integration, workflow, and deliverable descriptions are illustrative. Actual feasibility, architecture, security controls, integrations, pricing, delivery stages, and responsibilities depend on discovery and written agreement.

References to AI automation do not mean every decision can or should be automated. Human review, testing, monitoring, permissions, and risk controls will be determined for each engagement. We do not guarantee that a third party integration will be approved, remain available, or continue functioning after a provider changes its technology, rules, pricing, permissions, or interfaces.

Case studies and evidence

Unless expressly identified as a verified client engagement, case studies and operating patterns are illustrative examples of how Last Hit Labs would analyse or structure a potential system. They do not claim that a named client engaged us, that the system was delivered, that an outcome was achieved, or that another business will achieve the same result. Verified case studies will be identified and supported by evidence and appropriate client approval.

Third party names and platforms

The Website may refer to products or services such as WhatsApp, Instagram, Messenger, Meta, payment providers, cloud services, accounting platforms, or other software. Those names belong to their owners. A descriptive reference does not imply sponsorship, certification, partnership, endorsement, or affiliation unless expressly stated. An integration remains subject to the provider’s terms, policies, eligibility requirements, fees, and approvals.

Acceptable use

You may use the Website only for lawful purposes. You must not:

• Violate any law or another person’s rights.
• Submit false, fraudulent, unlawful, defamatory, abusive, or misleading content.
• Impersonate another person or misrepresent your authority.
• Transmit malware, harmful code, or malicious instructions.
• Access systems, data, accounts, or functionality without authorisation.
• Bypass security, rate limits, access controls, or anti spam mechanisms.
• Interfere with the availability, integrity, or operation of the Website.
• Test for vulnerabilities without prior written authorisation.
• Send excessive automated requests or harvest personal information.
• Commercially republish substantial Website content or create a confusingly similar service.
• Use automated systems to scrape, reproduce, or train models on Website content, except ordinary search engine indexing that follows published technical instructions or with prior written permission.
• Submit confidential or personal information belonging to another person without authority.

We may restrict traffic that we reasonably believe violates these Terms or threatens the Website.

Inquiry submissions

You remain responsible for submitted information and represent that:

• It is accurate to the best of your knowledge.
• You have authority to provide it.
• Providing it does not breach confidentiality, privacy, intellectual property, employment, or contractual obligations.
• It does not include passwords, payment credentials, illegal material, or unnecessary sensitive personal data.

You retain ownership of submitted information. You grant Last Hit Labs a limited, nonexclusive, royalty free licence to host, copy, validate, review, and process it only as reasonably necessary to respond, keep appropriate records, protect the Website, comply with law, or establish and defend legal claims.

Communications

By submitting an inquiry, you request and authorise Last Hit Labs to contact you concerning it using the supplied email, phone, or WhatsApp details. This covers responses, discovery, clarification, proposals, and related service communications. It is not consent to unrelated marketing. You may ask us to stop, subject to legally required communications or records.

Confidentiality

We handle inquiry information responsibly and under our Privacy Policy. An inquiry does not by itself create a nondisclosure agreement or professional duty of confidentiality. Do not submit trade secrets, source code, security credentials, regulated data, or commercially sensitive material until any required confidentiality agreement has been signed.

Intellectual property

Unless otherwise stated, the Website and its original content, brand elements, layout, graphics, interfaces, source code, and design system are owned by or licensed to Last Hit Labs and protected by law. You may view and make a reasonable internal copy for evaluating us. You must not reproduce, modify, distribute, sell, license, publish, commercially exploit, or create derivative works from substantial content without written permission.

Third party links

Third party links are provided for convenience or reference. We do not control and are not responsible for third party content, availability, security, accuracy, products, or privacy. Access is at your discretion and subject to that provider’s terms.

Privacy

Our collection and handling of personal data is described in the Privacy Policy. That policy forms part of the Website legal notices but does not create contractual rights beyond those provided by applicable law.

Website availability and changes

We may modify, suspend, restrict, or discontinue any part of the Website without prior notice. We do not guarantee continuous availability, uninterrupted or error free access, immediate correction of every defect, permanently current content, or availability of a displayed service for a particular project.

Disclaimers

To the maximum extent permitted by law, the Website and its content are provided on an “as available” basis. We do not warrant fitness for a particular business purpose, a guaranteed commercial or technical outcome, compatibility with every platform, accuracy of preliminary estimates, continuous availability, or freedom from every error or security risk.

Nothing excludes a representation or warranty that cannot lawfully be excluded, including nonwaivable consumer rights. The Website does not provide legal, tax, accounting, financial, medical, or regulatory advice.

Limitation of liability

To the maximum extent permitted by law, Last Hit Labs and its directors, officers, employees, contractors, and representatives are not liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising solely from use of or inability to use the Website. This includes loss of profit, revenue, goodwill, opportunity, anticipated savings, business information, or data where exclusion is permitted.

Our aggregate liability arising solely from the free public Website or an inquiry submitted before a separate engagement agreement is signed will not exceed INR 5,000.

This limit does not apply to fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where exclusion is prohibited, death or personal injury where liability cannot be excluded, or nonwaivable statutory and consumer rights. Liability for a paid engagement is governed by the corresponding written agreement.

Indemnity

To the extent permitted by law, you agree to indemnify Last Hit Labs against third party claims, losses, and reasonable costs arising from unlawful misuse, information submitted without authority, infringement of another person’s rights, or a material breach of these Terms. This does not cover loss caused by our own fraud, wilful misconduct, or liability that cannot lawfully be excluded.

Suspension and enforcement

We may restrict or block access where we reasonably believe these Terms were breached, the Website or another person is at risk, traffic is malicious or abusive, or restriction is required by law or a provider. A delay in enforcement is not a waiver.

Force majeure

Last Hit Labs is not responsible for delay or failure caused by events reasonably outside its control, including widespread network failure, cloud provider outage, natural disaster, governmental action, civil disturbance, labour disruption, cyberattack, utility failure, or failure of a critical third party platform. This does not exclude obligations that cannot lawfully be excluded.

Governing law and disputes

These Terms are governed by the laws of India. Before formal proceedings, the parties should try in good faith to resolve a dispute through written notice and discussion for at least 30 days.

Subject to nonwaivable rights, unresolved disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996. The tribunal will consist of one mutually appointed arbitrator. The seat and venue will be Kolhapur, Maharashtra, India and proceedings will be conducted in English. Either party may seek urgent interim or injunctive relief from a competent court.

Nothing prevents an eligible consumer from using a consumer commission or another forum where that right cannot lawfully be waived. Courts in Kolhapur, Maharashtra, India have jurisdiction over disputes not validly referred to arbitration.

Changes to these Terms

We may update these Terms for changes to the Website, services, technology, providers, or law. Revised Terms will appear with an updated effective date. Continued use means the revised Terms apply to later use, subject to law. They do not retroactively replace a separately signed client agreement.

General provisions

If a provision is invalid or unenforceable, it will be limited to the minimum necessary and the remainder will continue. These Terms do not create a partnership, employment, fiduciary, agency, or joint venture relationship. You may not assign rights under these Terms without written consent. We may assign them during a lawful restructuring, merger, acquisition, or business transfer. Headings are for convenience and do not affect interpretation.
